1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity) and DeepShift Technologies, a Wyoming corporation ("DeepShift," "we," "us," or "our"), concerning your access to and use of our artificial intelligence services, products, applications, and websites (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Services.

2. Service Description

DeepShift Technologies provides advanced artificial intelligence services including but not limited to:

  • AI model development and deployment platforms
  • Machine learning APIs and tools
  • Natural language processing services
  • Computer vision solutions
  • AI-powered analytics and insights
  • Custom AI solution development

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

3. User Obligations

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. If using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3.2 Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Ensuring all registration information is accurate and current

3.3 Acceptable Use

You agree not to use the Services to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Generate or distribute harmful, illegal, or malicious content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the integrity of the Services
  • Use the Services for any unethical or harmful AI applications
  • Reverse engineer or attempt to extract source code
  • Exceed rate limits or abuse the Services

4. Intellectual Property

4.1 Our Intellectual Property

The Services, including all content, features, and functionality, are owned by DeepShift Technologies and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

4.2 Your Content

You retain all rights to the content you submit to the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and store such content solely for the purpose of providing and improving the Services.

4.3 AI-Generated Output

Output generated by our AI models based on your inputs ("Generated Content") is provided to you under a license for your use, subject to these Terms. You are responsible for reviewing and ensuring the accuracy, appropriateness, and legality of any Generated Content before use.

5. Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. You acknowledge that you have read and understood our Privacy Policy and agree to its terms.

6. Payment Terms

Certain Services may be subject to payment of fees. You agree to pay all fees associated with your use of paid Services according to the pricing and payment terms presented to you. We reserve the right to change our pricing at any time with reasonable notice.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected. AI-generated outputs may contain errors, biases, or inaccuracies, and should not be relied upon without human review and verification.

8. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEPSHIFT TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless DeepShift Technologies and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (i) your use of the Services; (ii) your violation of these Terms; (iii) your violation of any rights of another party; or (iv) your User Content.

10. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination shall survive.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Wyoming, and judgment on the award may be entered in any court having jurisdiction.

12. General Provisions

12.1 Entire Agreement

These Terms constitute the entire agreement between you and DeepShift Technologies regarding the Services and supersede all prior agreements and understandings.

12.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
